Terms of Service

These Terms of Service ("Terms") govern your use of Cliptag, a macOS desktop application provided by Framepass LLC ("Framepass", "we", "us"). By downloading, installing, or using Cliptag, you agree to these Terms. If you do not agree, do not use the app.
1. The service
Cliptag analyzes your video clips to generate titles, tags, scene labels, and Finder metadata. Analysis runs either in the cloud (via Google's Gemini models) or entirely on your Mac in local-only mode, depending on your settings. We do not guarantee that AI-generated names, tags, or labels are accurate, complete, or fit for any particular purpose.
2. Accounts and license keys
Paid plans are unlocked with a license key issued at purchase. You are responsible for keeping your key confidential. We may track usage counts associated with your key to enforce monthly clip limits. You may not resell, share, or redistribute license keys.
3. Free tier, plans and rollover
The free tier allows 25 AI clips per month at no cost and requires no payment details. Paid plans (Creator, Pro, Studio) raise your monthly clip allowance. Monthly allowances reset at the start of each billing month. Unused clips on paid plans partly carry over into a rollover buffer — up to 2× your monthly allowance on Creator (max 1,000 clips) and up to 3× on Pro (max 6,000 clips) — so a quiet month feeds a busier one. The free tier does not accumulate a rollover buffer. Buffered clips are drawn from automatically once a month's base allowance is used up.
4. Billing
Paid subscriptions are billed monthly or yearly through Paddle, our Merchant of Record. Paddle handles payment processing and the collection and remittance of applicable taxes, including EU VAT. Your purchase is also subject to Paddle's buyer terms. Prices are shown at checkout and may change with notice for future billing periods.
5. Cancellation
You can cancel your subscription at any time. After cancellation you retain access to your paid allowance until the end of the current billing period, after which your account reverts to the free tier. Except where required by law, payments are non-refundable.
6. Your content and privacy
When you use cloud analysis, Cliptag extracts small JPEG frames from your clips and sends only those frames to the analysis provider. Your original video files never leave your Mac. In local-only mode, no clip data leaves your device at all. Your handling of footage remains your responsibility — see our Privacy Policy for details.
7. Acceptable use
You agree not to use Cliptag to process content you do not have the right to process, to reverse engineer or circumvent license limits, or to use the app in violation of applicable law. We may suspend access for serious or repeated violations.
8. Disclaimers and liability
Cliptag is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Framepass is not liable for any indirect, incidental, or consequential damages, or for data loss arising from your use of the app. Our total liability is limited to the amount you paid us in the twelve months preceding the claim.
9. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by the "last updated" date above. Continued use of Cliptag after changes take effect constitutes acceptance.
10. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.
